These Terms of Service ("Terms") become active and legally binding on you ("Applicant," "Member," or "you") the moment any of the following occurs: you submit a membership application to Silver Chain Social Club ("Club," "we," "us," or "our"); you become a Member of the Club; or you attend any Club event. Please read these Terms carefully. If you do not agree to these Terms, do not submit an application, accept membership, or attend any Club event.

1. Eligibility and Membership Application

1.1 Age Representation. By submitting a membership application, the Applicant represents and warrants that they are at least twenty-one (21) years of age. The Club may require proof of age at any point before or during the application process, or at any event.

1.2 Membership in the Club is by application only and is subject to review and approval at the Club's sole discretion.

1.3 Background Check Consent. By submitting a membership application, the Applicant expressly authorizes and consents to an automatic criminal history background check as a condition of application review. The Applicant acknowledges that the Club may use the results of this background check, in its sole discretion, to approve, deny, condition, suspend, or revoke membership at any time.

1.4 Couples' Applications: Joint Phone Screening. Applicants applying for membership as a couple agree that both individuals comprising the couple must participate together, in the same call, in the Club's required phone screening. Applications submitted by a couple will not be considered complete, and will not be approved, until this joint screening requirement has been satisfied by both individuals.

1.5 The Club reserves the right to deny any application, for any reason or no reason, at its sole discretion.

2. Prohibition on Illegal Activity

2.1 The Club does not condone, facilitate, permit, or tolerate any illegal activity in connection with membership, the website, or any Club event, including but not limited to solicitation, prostitution, trafficking, or any activity involving minors.

2.2 Any Member found to have engaged in, facilitated, or attempted illegal activity in connection with the Club will have their membership terminated immediately, without refund, and the Club reserves the right to report such conduct to law enforcement authorities and to cooperate fully with any resulting investigation.

2.3 The Club is not responsible for, and disclaims all liability arising from, the independent unlawful acts of any Member or third party.

3. Event Attendance: Accident and Liability Waiver

3.1 By attending any Silver Chain Social Club event, whether held at a Club-operated venue, a partner venue, or any other location, the attending Member agrees to and accepts the Club's accident and liability waiver.

3.2 Assumption of Risk. The Member acknowledges that participation in Club events carries inherent risks beyond those of ordinary social gatherings, including physical, emotional, reputational, and health-related risks arising from close personal interaction with other Members, and that the Club cannot control or guarantee the conduct, health status, or behavior of any attendee. The Member voluntarily and knowingly assumes all such risks.

3.3 Release. The Member releases and holds harmless the Club, its officers, agents, contractors, and event venues from any and all claims, demands, causes of action, liabilities, or damages arising out of or related to the Member's attendance at, or participation in, any Club event, except to the extent caused by the Club's gross negligence or willful misconduct.

3.4 Indemnification. The Member agrees to indemnify, defend, and hold harmless the Club, its officers, agents, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to the Member's own conduct at, or in connection with, any Club event, including claims brought by third parties or other Members.

3.5 A complete, event-specific waiver document will be presented for signature at or before each event and is incorporated into these Terms by reference.

4. Confidentiality: Lifetime Non-Disclosure Agreement

4.1 As a condition of membership, each Member agrees to be bound by a lifetime Non-Disclosure Agreement (“NDA”), which survives indefinitely and does not terminate upon the Member's resignation, suspension, or expulsion from the Club.

4.2 The NDA obligates each Member to maintain in strict confidence all information regarding the identity, attendance, participation, and activities of other Members and of the Club's operations, events, and locations, except as otherwise required by law.

5. Member Privacy: Non-Disclosure of Other Members' Identities

5.1 Each Member agrees never to disclose, reveal, identify, or “out” another Member's identity, membership, or attendance to any third party, in any form or through any medium, without that other Member's express prior written consent.

5.2 Photography and Recording. Members are strictly prohibited from photographing, filming, audio recording, or otherwise capturing the likeness or voice of another Member at any Club event, or sharing any such image, recording, or likeness with any third party or on any public or private platform, without that other Member's express prior written consent. A violation of this Section 5.2 that results in another Member being disclosed, revealed, identified, or “outed” constitutes a violation of Section 5.1 and is subject to Section 5.3.

5.3 Liquidated Damages. If a Member's act or omission results in another Member being disclosed, revealed, identified, or “outed” in violation of this Section 5, the responsible Member agrees to pay the affected Member damages equal to five (5) years of the affected Member's most recent annual earnings. The parties agree that this amount represents a reasonable pre-estimate of the harm caused by such disclosure, given the difficulty of calculating actual damages for a breach of this nature, and does not constitute a penalty.

5.4 This Section 5 is in addition to, and not in lieu of, any other legal or equitable remedies available to the affected Member or the Club, including injunctive relief.

6. Code of Conduct; Suspension and Termination

6.1 All Members are expected to comply with the Club's policies, Code of Conduct, and these Terms at all times.

6.2 The Club reserves the right, in its sole and absolute discretion, to suspend or terminate any Member's membership at any time, with or without notice, and with or without cause, including for any actual or suspected violation of the Club's policies, Code of Conduct, or these Terms.

6.3 Suspension or termination of membership does not relieve a Member of any obligation under these Terms that by its nature survives, including but not limited to the obligations in Sections 4 (Lifetime NDA) and 5 (Non-Disclosure of Other Members' Identities).

7. Dues and Fees

7.1 Membership dues, event fees, and any associated refund terms are set forth in the Club's current fee schedule, which is incorporated into these Terms by reference and may be updated by the Club from time to time.

7.2 Except as expressly stated in the fee schedule, dues and fees are non-refundable, including in the event of suspension or termination of membership under Section 6.

8. Privacy and Data

8.1 The Club's collection, use, storage, and protection of Member information is governed by the Club's Privacy Policy, which is incorporated into these Terms by reference.

8.2 By submitting a membership application, the Applicant consents to the collection and processing of their personal information as described in the Privacy Policy.

9. Force Majeure

The Club shall not be liable for any failure or delay in performance, or for the cancellation, postponement, or modification of any event, due to causes beyond its reasonable control, including but not limited to acts of God, natural disaster, extreme weather, government action, public health emergency, venue unavailability, or other circumstances outside the Club's control.

10. Governing Law; Dispute Resolution

10.1 Governing Law. These Terms, and any agreements entered into in connection with membership in the Club, shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws principles.

10.2 Venue. Subject to Section 10.3, any dispute arising out of or relating to these Terms or membership in the Club shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and each party consents to the personal jurisdiction of such courts.

10.3 Arbitration. Given the confidential nature of Club membership, the Club may require that any dispute arising out of or relating to these Terms be resolved by confidential, binding arbitration rather than in court, on terms to be set forth in a separate arbitration agreement. Where arbitration applies, the confidentiality of the arbitration proceeding itself, including all filings, evidence, and awards, shall be maintained by both parties consistent with Sections 4 and 5 of these Terms.

11. Miscellaneous

11.1 Entire Agreement. These Terms, together with the Club's Code of Conduct, Privacy Policy, current fee schedule, and any event-specific waivers, constitute the entire agreement between the Member and the Club regarding their subject matter.

11.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.3 Amendment. The Club reserves the right to modify these Terms at any time. Continued membership or attendance at Club events following any such modification constitutes acceptance of the revised Terms.

11.4 No Waiver. The Club's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
